These terms govern the supply and use of the Ambling Ride software by business customers. They apply to companies, not to consumers. Individual agreements signed with a customer take precedence over these terms.
Ambling Ride consists of an overlay application for Windows laptops and a companion app for iPhone. The phone measures vehicle motion and sends it to the laptop over Bluetooth; the laptop draws peripheral visual cues at the edges of the screen.
Ambling Ride is not a medical device. It does not diagnose, treat, cure or prevent any illness, and it makes no medical claims. It is a comfort and productivity tool. People react differently to peripheral motion cues, and we do not promise a particular effect for any individual.
You may not resell, sublicense or rent the software to third parties, remove licence or copyright notices, or attempt to circumvent licensing. Reverse engineering is permitted only to the extent mandatory law allows.
Ambling Ride runs locally on your own devices, so it does not depend on our servers to work. We provide support by email and aim to respond within two working days. We do not currently offer a contractual service level; if your organisation needs one, we can agree it separately.
Updates are included for the duration of the licence. We may change or remove individual features as the product develops, but we will not materially reduce the core functionality you licensed during a running term.
We are liable without limitation for intent and gross negligence, and for damages arising from injury to life, body or health. In cases of simple negligence we are liable only for breach of an essential contractual obligation, and then limited to the foreseeable damage typical for this type of contract. Liability under the German Product Liability Act remains unaffected.
Ambling Ride is an aid for working in moving vehicles. It must never be used by the driver of a vehicle while driving. You remain responsible for the safe and lawful use of your devices.
How the software handles data is described in our privacy policy. Where we process personal data on your behalf, a data processing agreement under Art. 28 GDPR is available and can be signed before the first installation.
The licence term is agreed with the customer. Either party may terminate for good cause. On termination, use of the software ends and the customer removes it from its devices.
Ambling Ride is developed by a small provider, and customers reasonably ask what happens if we stop. If we permanently cease operations or discontinue the product, the customer receives a perpetual, irrevocable, free licence to continue using the version then in use. Source code escrow with a neutral agent can be arranged on request, at the customer's cost.
We may update these terms for new contracts. For a running contract, changes apply only with the customer's agreement.
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. Where the customer is a merchant, the place of jurisdiction is the provider's registered seat.
